RESALE & OWNERSHIP TRANSFER POLICY

Procedures for reselling and transferring property ownership acquired through the platform.

This Resale & Ownership Transfer Policy forms part of the Terms of Service of Jazã & Sakeenah Company Limited ("Jazã & Sakeenah", "Company", "we", "our", or "us") and governs the resale, transfer, assignment, gifting, inheritance-related ownership updates and other changes of ownership relating to properties acquired through the Jazã & Sakeenah Platform ("Platform"). By purchasing, owning, reselling or acquiring property through the Platform, every user acknowledges that he or she has read, understood and agreed to this Policy.

  1. PURPOSE

This Policy establishes the procedures governing the resale and transfer of ownership of properties acquired through the Platform and is intended to preserve accurate ownership records, protect all parties to a transaction and ensure compliance with applicable legal, regulatory and operational requirements.

2. ELIGIBLE PROPERTY

Only properties eligible for resale under the applicable property offering may be listed for resale through the Platform. The Company may restrict or postpone resale where reasonably necessary to comply with applicable law, court orders, regulatory requirements, security concerns, pending ownership verification, incomplete documentation or other lawful requirements.

3. PLATFORM RESALE PROCESS

Where the Platform provides a resale feature, an owner wishing to resell property shall initiate the resale by listing the property through the designated Resale feature available within the owner's dashboard under the relevant property. The owner shall be responsible for ensuring that the asking price is reasonable. A prospective purchaser shall acquire the listed property directly through the Platform by completing the applicable purchase and ownership transfer process. Where applicable, the Platform may facilitate communications, offers, negotiations or other resale-related interactions between the parties.

4. SELF-RESALE ELIGIBILITY

Only a Purchaser who has fully paid for a property in accordance with the applicable property offering may utilise the Platform's self-resale feature to list and resell that property. Properties that remain subject to outstanding purchase payments shall not be eligible for self-resale through the Platform unless the Company expressly permits otherwise under the applicable transaction terms. Nothing in this clause prevents the Company from providing resale assistance or facilitating ownership transfers in accordance with this Policy where such assistance is available.

5. COMPANY-ASSISTED RESALE

Where available, the Company may provide reasonable assistance in facilitating resale, including listing support, buyer introductions, transaction guidance, ownership verification, documentation support or transfer coordination. Such assistance does not constitute a guarantee that a buyer will be identified or that a resale will be completed.

6. OWNERSHIP TRANSFER PROCESS

No resale, assignment, transfer, gift, inheritance-related update or other change of ownership shall become effective until the Company's approved ownership transfer process has been completed. The Company may require:

  • Identity verification;
  • Supporting documentation;
  • Execution of transfer documents;
  • Regulatory compliance checks;
  • Payment of applicable transfer charges; and
  • Any other reasonable requirement necessary to verify ownership, comply with applicable law and accurately update ownership records.

Ownership records shall remain unchanged until the transfer process has been completed.

7. PURCHASE BY TRANSFEREE

A purchaser acquiring property through resale shall complete the applicable purchase process through the Platform and shall become bound by the applicable agreements, policies and requirements governing the acquired property. Upon successful completion of the transfer process, the transferee shall assume all rights, obligations, liabilities, restrictions and responsibilities relating to the property.

8. JOINT OWNERSHIP TRANSFERS

Where property is transferred into joint ownership or from joint ownership, all applicable ownership information, identification requirements and documentation requirements shall be completed in accordance with the Company's prescribed procedures.

9. RESALE PROCEEDS, FEES AND APPLICABLE DEDUCTIONS

Applicable transfer fees, documentation fees, statutory charges, taxes, commissions (where applicable), administrative charges, outstanding obligations and any other lawful fees, charges or deductions relating to the resale or transfer of ownership shall be payable or deducted, as applicable, in accordance with the applicable property offering, applicable law or the agreement between the parties. Where a property or ownership interest is successfully resold or transferred for value, the resale proceeds payable to the seller shall be subject to such applicable fees, charges and deductions. The resale value of the property may be higher than, equal to or lower than the amount previously paid by the seller, depending on prevailing market conditions, the agreed resale price and other relevant factors. Accordingly, the Company does not guarantee any particular resale value or net amount payable to the seller.

10. COMPANY RECORDS

The Company's ownership records shall constitute the official ownership records maintained on the Platform. Ownership shall not be regarded as transferred until the Company's records have been updated following completion of the approved ownership transfer process.

11. LIMITATION OF LIABILITY

The Company does not guarantee:

  • Buyer availability;
  • Successful resale;
  • Any particular resale value;
  • Capital appreciation;
  • Immediate resale;
  • Resale within any specified period; or
  • Any particular financial outcome.

Resale outcomes remain subject to prevailing market conditions, buyer demand and other relevant circumstances beyond the Company's reasonable control.

12. FRAUD, ERROR AND UNAUTHORISED TRANSACTIONS

The Company reserves the right to suspend, investigate, decline, reverse or restrict any resale or ownership transfer reasonably suspected to involve fraud, identity theft, unauthorised activity, payment irregularities, money laundering, regulatory violations, misrepresentation or other unlawful conduct. The Company may correct clerical, administrative, pricing, documentation, ownership recording or processing errors and make corresponding adjustments where reasonably necessary.

13. POLICY CHANGES

The Company may amend or update this Policy from time to time. Any revised version shall become effective upon publication on the Platform unless otherwise stated.

14. GOVERNING LAW

This Policy shall be interpreted, administered and applied in a manner consistent with the principles of Sharīʿah to the extent consistent with the laws of the Federal Republic of Nigeria and shall, in all respects, be governed by the applicable laws of the Federal Republic of Nigeria. Any dispute arising from this Policy shall be resolved in accordance with the dispute resolution provisions contained in the applicable Terms of Service and Property Purchase Agreement.
